Terms of Service

Version 2026-10 · applies to hyphenhw.com, the client portal and H-Bot

These Terms govern use of hyphenhw.com, the HyphenHW client portal, chat and the H-Bot assistant (the “Portal”), and the services HyphenHW provides through it. “HyphenHW”, “we” and “us” mean [HyphenHW legal entity name]; “Client” and “you” mean the company that uses the Portal and the people it authorizes. By accepting in the Portal you agree to these Terms, the Mutual NDA and the Privacy Policy.

1. Accounts

• You sign in with your work email and a password you choose through a one-time link from HyphenHW. Keep your password private; activity from your account is treated as yours.
• Client’s users can add and remove colleagues. Everyone added can see all of Client’s cases, POs, invoices and shared risks.
• Tell us promptly at hello@hyphenhw.com if you think an account has been misused.

2. Services, quotes and orders

• Services are described in each quote or statement of work. When you accept a quote in the Portal, it becomes an order under these Terms and the quote’s own terms; if they conflict, the quote controls for that order.
• HyphenHW purchases components only through authorized distribution or directly from manufacturers, on Client’s accounts and capital unless a quote says otherwise, and does not take title to Client’s components.
• Fees, payment terms and expenses are as stated in the quote or invoice; unless stated otherwise, invoices are due Net 30.

3. Your responsibilities

• Provide accurate BoMs, quantities, dates and requirements, and keep them current.
• Engineering decisions stay yours. HyphenHW recommends alternates, flags risks and estimates schedules; Client approves design changes, part substitutions and builds.
• Do not upload export-controlled technical data (see the NDA, section 6), malware, or content you have no right to share.

4. H-Bot, part data and estimates

• H-Bot is an AI assistant. It answers from data in the Portal and can be wrong or incomplete; check important answers with the HyphenHW team. H-Bot does not make commitments, change orders or send messages on its own.
• Distributor stock, lead time, lifecycle and price data come from third parties, change constantly and are provided “as is”. Stock shown is not reserved for you.
• Tariff and duty estimates, the compliance matrix and regulatory notes are planning aids, not legal, customs or regulatory advice. Your customs broker and compliance advisers confirm final duty and certification requirements.

5. Ownership and confidentiality

Client keeps all rights in its designs, BoMs and data, and grants HyphenHW the rights needed to provide the services. HyphenHW keeps all rights in the Portal, its methods and tools. Confidentiality is governed by the Mutual NDA. Feedback about the Portal may be used without obligation.

6. Acceptable use

Don’t attempt to access other clients’ data, probe or disrupt the Portal, or use it to break the law. We may suspend access that puts the Portal or other clients at risk.

7. Disclaimers

Except as stated in a quote, the Portal and its information are provided “as is”. HyphenHW works to secure supply but cannot guarantee manufacturer allocation, distributor stock, carrier transit times or third-party performance.

8. Limitation of liability

To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or lost profits, and HyphenHW’s total liability for any claim is limited to the fees Client paid HyphenHW in the twelve (12) months before the claim. These limits do not apply to breach of confidentiality, a party’s indemnity obligations, or amounts Client owes for services.

9. Term and changes

Either party may stop using or providing the Portal at any time; accepted orders continue under their terms. We may update these Terms; when we do, the Portal asks you to accept the new version before continuing.

10. General

These Terms are governed by the laws of [State], excluding conflict-of-law rules, with courts in [County, State] having jurisdiction. If a provision is unenforceable, the rest remains in effect.
